<h3 >公司注册</h3>
</br>
<p>不同的企业类型对注册资本有着不同的最低限额。企业类型大大致分为以下两类：公司制企业、非公司制企业。</p>
</br>
<p>
<h3>一、公司制企业</h3>
</br>
<p>
<h4><p><span>1、有限责任公司：</span></p></h4>
</br>
<p>（1）股东符合法定人数即由1个以上50个以下股东共同出资设立；
</br>（2）股东出资达到法定资本最低限额3万人民币；
</br>（3）股东共同制定公司章程；
</br>（4）有公司名称，建立符合有限责任公司要求的组织机构；
</br>（5）有固定的生产经营场所和必要的生产经营条件。</p>

<h4><p><span>2、股份有限公司：</span></p></h4>
</br>
（1）设立股份有限公司，应当有2人以上200人以下为发起人，其中须有过半数的发起人在中国境内有住所。</br>
（2）股份有限公司发起人，必须按照法律规定认购其应认购的股份，并承担公司筹办事务</br>
（3）股份有限公司的注册资本为在公司登记机关登记的实收股本总额；</br>
（4）股份有限公司注册资本的最低限额为人民币500万元。股份有限公司注册资本最低限额需高于上述所定限额的，由法律、行政法规另行规定。</p>

<h3>二、非公司制企业</h3>
</br>
<p>
</br>
<h4><p><snap>1、非公司企业法人：</snap></p></h4></br>
（l）有符合规定的名称和章程；</br>
（2）有国家授予的企业经营管理的财产或者企业所有的财产，并能够以其财产承担民事责任；</br>
（3）有与生产经营规模相适应的经营管理机构、财务核算机构、劳动组织以及法律或者章程规定必须建立的其它机构；</br>
（4）有必要的并与经营范围相适应的经营场所和设施；</br>
（5）有与生产经营规模和业务相适应的从业人员；</br>
（6）有健全的财会制度，能够实行独立核算，自负盈亏，独立编制资产负债表；</br>
（7）有符合规定数额并与经营范围相适应的注册资金，企业法人的注册资金不得少于3万元，国家对企业注册资金数额有专项规定的按专项规定执行；</br>
（8）有符合国家法律、法规和政策规定的经营范围。</p>

<h4><p><snap>2、个人独资企业：</snap></p></h4></br>
（1）投资人为一个自然人；</br>
（2）有合法的企业名称；</br>
（3）有投资人申报的出资，没有最低限额基本要求；</br>
（4）有固定的生产经营场所和必要的生产经营条件；</br>
（5）有必要的从业人员。</br>

<h4><p><snap>3、合伙企业：</snap></p></h4></br>
（1）有二个以上合伙人，并且都是依法承担无限责任者；</br>
（2）有书面合伙协议；</br>
（3）有各合伙人实际缴付的出资，没有最低限额基本要求；</br>
（4）有合伙企业的名称；</br>
（5）有经营场所和从事合伙经营的必要条件；</br>
（6）合伙人应当为具有完全民事行为能力的人；</br>
（7）法律、行政法规禁止从事营利性活动的人，不得成为合伙企业的合伙人。</br>
