Contributor License Agreement (CLA) for IBM® Power® Access Cloud
This Contribution License Agreement ("Agreement") is made and entered into between the IBM® Power® Access Cloud project (the "Project"), hosted on GitHub, and you (the "Contributor").
1. Contributions
a. "Contributions" means any code, documentation, bug fixes, patches, or other material that you submit to the Project through a pull request or any other means.
b. By submitting Contributions to the Project, you agree to voluntarily license your Contributions under the terms of this Agreement.
2. Grant of License
a. You retain all ownership rights to your Contributions.
b. You hereby grant to the Project and its users a perpetual, worldwide, non-exclusive, royalty-free, irrevocable, sublicensable, non-transferable license to use, reproduce, modify, prepare derivative works of, distribute, perform, and display your Contributions and any derivative works thereof.
c. You agree that the Project may modify your Contributions in order to merge them into the Project or to comply with the Project's coding standards.
3. Representations and Warranties
a. You represent and warrant that you have the authority to enter into this Agreement and to grant the License set forth herein.
b. You represent and warrant that your Contributions are original to you or that you have the necessary licenses, rights, consents, and permissions to grant the License set forth herein.
c. You represent and warrant that your Contributions do not infringe upon or violate any intellectual property or other right of any third party.
4. Disclaimer of Warranty
THE PROJECT IS PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR TITLE. THE PROJECT USERS USE THE PROJECT AT THEIR OWN RISK.
5. Term and Termination
This Agreement shall remain in full force and effect until terminated by you or the Project.
a. You may terminate this Agreement by ceasing to contribute to the Project.
b. The Project may terminate this Agreement by notifying you in writing of its termination, in which case all licenses granted hereunder shall automatically terminate.
c. Upon termination of this Agreement, all provisions of this Agreement that by their nature survive termination shall continue in full force and effect.
6. BY SUBMITTING CONTRIBUTIONS TO THE PROJECT, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
